  1. Governing Law and Jurisdiction 

These terms will be determined in accordance with the substantive laws of the State of Florida without giving effect to its rules regarding conflicts of laws.  With respect to any suit, action or proceeding relating to these Terms or to the actions contemplated hereby, each party irrevocably (i) submits to the exclusive jurisdiction of the courts of Palm Beach County, Florida; and (ii) waives any objection which it may have at any time to the laying of venue of any suit, action or proceeding brought in any such court, waives any claim that such suit, action or proceeding has been brought in an inconvenient forum and further waives the right to object, with respect to such proceedings, that such court does not have jurisdiction over such party.

  1. WAIVER OF JURY TRIAL 

EACH PARTY HEREBY WAIVES THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING BASED UPON, OR RELATED TO, THE SUBJECT MATTER OF SITE OR THE TERMS HEREIN. THIS WAIVER IS KNOWINGLY, INTENTIONALLY, AND VOLUNTARILY MADE BY EACH PARTY AND EACH PARTY EXPRESSLY ACKNOWLEDGES THAT OCULUS OR ANY PERSON ACTING ON BEHALF OF OCULUS HAS MADE ANY REPRESENTATIONS OF FACT TO INCLUDE THIS WAIVER OF TRIAL BY JURY OR IN ANY WAY TO MODIFY OR NULLIFY ITS EFFECT. EACH PARTY ACKNOWLEDGES THAT IT HAS READ AND UNDERSTANDS THE MEANING AND EFFECT OF THIS WAIVER PROVISION.

  1. ADVICE OF COUNSEL 

EACH PARTY ACKNOWLEDGES THAT IT HAS BEEN ADVISED BY ITS OWN COUNSEL WITH RESPECT TO THESE TERMS, AND SPECIFICALLY WITH RESPECT TO THE WAIVER OF EACH PARTY’S RIGHT TO TRIAL BY JURY.

  1. Entire Agreement / No Reliance

These terms constitute the entire agreement relating to use of the Site.

By accessing this Site, you confirm that you have not relied on any representation not expressly set out herein.

  1. Severability

If any provision is held invalid, the remaining provisions shall remain in full force.

  1. Amendments

Oculus reserves the right to modify these terms at any time.

Continued use of the Site constitutes acceptance of such changes.
